DAISHO DENSHI Code of Conduct
Daisho Denshi Co., Ltd. (the “Company”) is committed, as a member of society, to working in harmony with society and fulfilling its corporate responsibility to society while clarifying its basic stance of supporting and respecting international norms and complying with laws, regulations and corporate ethics, and will promote its business activities in a fair and equitable manner with high ethical standards.
The Company has established the “Daisho Denshi Code of Conduct” as the guidelines that all of its officers and employees should adhere to, with the aim of earning trust from society at large and contributing to the growth of business and creation of a sustainable society. The Company will carry out all its corporate activities in accordance with this Code of Conduct.
1. Respect for Human Rights
Respect for human rights
- ・We understand international guidelines and practices relating to human rights and will respect human rights.
- ・We do not tolerate discrimination and harassment based on race, color, age, gender, sexual orientation, gender identity or expression,
- ethnicity or national origin, disability, pregnancy, religion, political affiliation and other social categories, and on child labor and forced labor.
- ・We will not, and request businesses in the supply chains not to, infringe human rights. We endeavor to assess, prevent realization of and
- reduce the risks of negative impacts on human rights within the Company and in the supply chains and will implement appropriate measures
- if any infringement occurs.
Maintaining safe and comfortable working environmentt
- ・We will maintain a safe and comfortable working environment in which each person respects personality and character of others and values
- diversity to maximize the motivation and potential of employees.
- ・We will comply with health and safety laws, regulations and rules and take measures to ensure that all employees can work safely while
- maintaining physical and mental health.
- ・We will endeavor to report to and consult with our supervisor or an internal report desk if we find violation of laws and regulations or other
- improper conduct. The Company will maintain the confidentiality of information on the individuals who have reported and consulted or
- who cooperated in the investigation and will never allow any retaliation against them.
2.Environmental Conservation
- ・We will comply with environmental conservation laws, regulations, rules and other requirements, and actively work to ensure that our
- corporate activities or our products and services have as little impact as possible on the global environment, thereby contributing
- to the creation of a sustainable society.
3.Sound Business Activities
Ethics and compliance
- ・We will act in compliance with laws and regulations, corporate ethics and any applicable rules while respecting societal needs, social norms
- and social ethics.
Fair dealing
- ・We will engage in fair and equitable dealings in our corporate activities in compliance with antitrust and competition laws and regulations.
Providing safe and high-quality products and services
- ・We will provide safe and high-quality products and services with our advanced technology and extensive experience for customers and better
- future.
- ・If any defect is found in our products or services, we will implement appropriate corrective measures responsibly and promptly to prevent
- recurrence of the defect.
Responsible sourcing
- ・We will build mutual trust with our suppliers and contractors (business partners) through constructive communication and implement fair and
- responsible sourcing.
- ・We recognize that our business partners are indispensable for our business activities and will request that they understand this Code of
- Conduct and implement it in harmony with the Company.
No bribery or corruption
- ・We will conduct business in compliance with anti-bribery laws in all countries and regions and never be involved in corruption.
- ・We will not offer money, entertainment, assistance, opportunities or other advantages to public officials or similar persons, or officers or
- employees of a company for obtaining undue advantage.
Eliminating relationships with antisocial forces
- ・We will eliminate any relationships with antisocial forces that threaten social order and security.
Preventing conflict of interest
- ・We will not seek personal gain when performing our duties and will not engage in any act that conflicts or is suspected to conflict with the
- interest of the Company.
Export control
- ・We will control export and import of products and technical information appropriately in compliance with trade control laws and regulations
- to protect international peace and security.
- Preventing insider trading
- ・We will strictly refrain from selling and buying stocks or securities of another company with knowledge of material non-public information on
- the company learned through our duties.
Respecting intellectual property
- ・We recognize that intellectual property is an important asset of the Company and will endeavor to protect and effectively use those
- intellectual property rights. In addition, we will respect intellectual property rights of others and will not knowingly infringe such rights.
Accurate record keeping and disclosure of information
- ・We will record all internal and external information including accounting and financial information accurately based on facts.
- ・We will disclose financial information and non-financial information on subjects such as labor, health and safety and environmental practices
- appropriately in a timely manner in accordance with laws, regulations and rules.
Contribution to local communit
- ・We will contribute to the creation of a better society in collaboration with our local community as a good corporate citizen.

Management of corporate assets
- ・We will use all our tangible and intangible assets only for conducting business and will manage them appropriately to prevent any damage to
- their value.
Information security
- ・We will manage information of the Company and of others properly according to the degree of importance of such information and protect it
- from leak, unauthorized use, thefts and all other threats.
- ・We will neither use information obtained through our duties for any purpose other than for conducting our duties nor will disclose or leak
- such information to others during and after employment.
Protection of personal information
- ・We respect the privacy of individuals and will lawfully and appropriately handle any personal information obtained through our corporate
- activities.
Crisis management
- ・If a natural disaster, epidemic or any other emergency occurs, we will strive to minimize damage while giving priority to human life and
- health.
